Terms of Service for AudioPrepper

These Terms of Service ("Terms") govern your access to and use of AudioPrepper, including our website at https://audioprepper.com, dashboard, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

1. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate account information and keep it current.

2. Services

AudioPrepper provides audio processing tools, including upload, transcription-related processing, file splitting, export tooling, and associated account and billing features.
We may modify, improve, or discontinue features at any time.

3. Acceptable Use

You agree not to:
- use the Services for unlawful, harmful, fraudulent, or deceptive activity;
- upload content you do not have the right to process;
- attempt to interfere with or disrupt the Services or related systems;
- reverse engineer, copy, scrape, or misuse the Services beyond permitted use;
- use the Services to infringe third-party intellectual property, privacy, or other rights.

We may suspend or terminate access for violations.

4. User Content and Rights

"User Content" means any files, audio, text, prompts, metadata, and other content you submit to the Services.
You retain your rights in User Content.
You grant us and our subprocessors a limited license to host, process, transmit, and transform User Content solely to operate, secure, and improve the Services.
You represent that you have all necessary rights and permissions for User Content.

5. Billing, Credits, and Subscriptions

Paid features may be offered through subscriptions and/or prepaid credit packs.
Prices, credit amounts, and plan terms are shown at checkout.
Payments are processed by third-party payment processors (such as Stripe); we do not store full payment card details.
Unless required by law or expressly stated at purchase, fees are non-refundable.
You are responsible for applicable taxes.

6. Third-Party Services

The Services rely on third-party infrastructure and integrations (for example hosting, storage, authentication, email, and payment providers). Availability may depend on those services.

7. Intellectual Property

The Services, including software, branding, and content we provide, are owned by us or our licensors and are protected by applicable intellectual property laws.
Except for rights expressly granted in these Terms, no rights are transferred to you.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted, secure, or error-free operation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

10. Indemnification

You agree to indemnify and hold us harmless from claims, losses, liabilities, and expenses arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services at any time.
We may suspend or terminate access at any time, including for violations of these Terms, security risk, abuse, legal requirements, or inactivity.
Sections that by nature should survive termination will survive.

12. Privacy

Your use of the Services is also governed by our Privacy Policy at https://audioprepper.com/privacy-policy.

13. Changes to These Terms

We may update these Terms from time to time.
When we make material updates, we will post the revised Terms and update the "Last Updated" date. Continued use after updates means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction where our business is established, without regard to conflict-of-law principles, unless otherwise required by applicable law.
